Welcome to TiltRx ("TiltRx," "we," "us," or "our"), operated by Digital Raspberry, LLC ("Company"), a Colorado limited liability company. By accessing or using our website, mobile application, or any related products or services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service.

1. Eligibility & Age Requirements

TiltRx is intended for users 21 years of age or older, or 18+ where permitted by local law.This includes jurisdictions where the minimum age is 18 (most international locations) or 19 (Alabama, Nebraska). You are solely responsible for ensuring you meet the minimum age requirement in your jurisdiction.

TiltRx does not offer, promote, or accept wagers, and is not a gambling or sportsbook operator. The Service is for informational and entertainment purposes only. Use of the Service may be restricted or prohibited in certain jurisdictions; you are solely responsible for compliance with all applicable local, state, and federal laws.

2. International Use & Jurisdictional Compliance

The Service is accessible globally, but users must comply with all applicable laws in their jurisdiction. By using TiltRx, you represent and warrant that:

• You meet the minimum age requirement in your jurisdiction to access sports-related analytical content;
• Your use of the Service does not violate any applicable laws, regulations, or legal restrictions in your country, state, or locality;
• You will not use the Service in any jurisdiction where its use is prohibited or restricted by law.

TiltRx reserves the right to restrict, suspend, or terminate access to the Service in any jurisdiction where providing the Service may violate applicable laws or regulations. We may implement geolocation restrictions, age verification, or other compliance measures as needed.

3. Nature of Service

• TiltRx provides AI-driven sports data analysis, insights, and predictive models for informational and entertainment purposes only.
• TiltRx does not guarantee any betting outcomes, financial returns, or winnings of any kind.
• All content, including AI-generated predictions, probabilities, statistical analysis, and "picks," are mathematical models and opinions derived from historical data and should not be interpreted as betting advice, financial advice, or a recommendation to place wagers.
• You acknowledge and agree that any use of this information for gambling or betting is solely at your own risk.
• Past performance does not guarantee future results.

4. No Gambling or Wagering

TiltRx is not a gambling platform and expressly does not:

• Accept, process, or facilitate bets, wagers, or payments related to gambling;
• Operate, endorse, promote, or affiliate with any sportsbook, casino, or online gambling operator;
• Provide legal, financial, tax, or investment advice of any kind;
• Guarantee wins, profits, or positive returns on any wagers.

Any mention of "odds," "spreads," "lines," "picks," or similar terminology is for informational and statistical reference only and does not constitute an endorsement to gamble.

5. Accounts and Registration

To access certain features, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to maintain the confidentiality of your login credentials. You are solely responsible for all activity under your account, including unauthorized access.

We reserve the right to suspend, terminate, or refuse service to any account that violates these Terms, is associated with fraudulent activity, abuse, illegal behavior, or misuse of the Service.

6. Subscription, Billing, and Refund Policy

TiltRx may offer both free and paid subscription plans. By subscribing to a paid plan, you authorize Digital Raspberry, LLC to charge your provided payment method on a recurring basis according to your selected plan.

• Automatic Renewal: Subscriptions automatically renew unless canceled at least 24 hours before the renewal date.
• Cancellation: You may cancel at any time through your account settings. Cancellations take effect at the end of the current billing period with no prorated refunds.
• Refunds: Except where required by applicable law, all payments are final and non-refundable once the billing period begins. We do not offer refunds for unused portions of subscription periods.
• Price Changes: We reserve the right to modify pricing, plan features, or discontinue plans at any time with 30 days' notice to active subscribers.
• Failed Payments: If payment fails, we may suspend or terminate access until payment is resolved.

7. AI Content and Accuracy Disclaimer

TiltRx uses proprietary machine learning algorithms, statistical models, and third-party data sources. While we strive for accuracy, no prediction, model output, probability, or insight is guaranteed to be correct, profitable, or reliable.

All users acknowledge that:

• Results may vary significantly and are not indicative of future performance;
• Errors, omissions, or inaccuracies may occur in data collection, modeling, calculations, or presentation;
• Models are based on historical data and cannot account for unforeseen events, injuries, weather, or other factors;
• No AI system can predict outcomes with certainty.

TiltRx, Digital Raspberry LLC, its affiliates, officers, directors, employees, licensors, and agents shall not be liable for any direct, indirect, incidental, consequential, punitive, or special damages resulting from the use of, reliance on, or inability to use AI predictions, analysis, or any Service content.

8. Intellectual Property

All content on TiltRx—including text, graphics, logos, interfaces, software code, algorithms, machine learning models, data compilations, and proprietary analytics—is the exclusive property of Digital Raspberry, LLC or its licensors and is protected by U.S. and international copyright, trademark, patent, and trade secret laws.

Users are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal, non-commercial use only. You may not:

• Copy, reproduce, modify, distribute, sell, or exploit any portion of the Service;
• Reverse-engineer, decompile, or extract algorithms or source code;
• Use automated tools, bots, or scrapers to access or collect data;
• Create derivative works or competing services based on TiltRx technology;
• Remove, alter, or obscure any copyright, trademark, or proprietary notices.

9. User Conduct and Prohibited Activities

You agree not to:

• Use the Service for any unlawful, fraudulent, or unauthorized purpose;
• Interfere with, disrupt, or compromise the security of the Service, its servers, networks, or other users;
• Circumvent security features, access controls, rate limits, or paywalls;
• Scrape, harvest, aggregate, or collect data for commercial resale or redistribution;
• Misrepresent the source, accuracy, or nature of information obtained from TiltRx;
• Impersonate TiltRx, its employees, or other users;
• Share account credentials or access with third parties;
• Post or transmit malicious code, viruses, or harmful content.

Violation of this section may result in immediate account termination, legal action, and liability for damages.

10. Third-Party Links and Services

TiltRx may include links to third-party websites, APIs, data feeds, or integrations with external services (e.g., sportsbooks, data providers). We do not control, endorse, or assume responsibility for the content, accuracy, privacy practices, or terms of use of any third-party sites or services.

Your use of third-party services is governed by their respective terms and conditions. We are not liable for any transactions, losses, or disputes arising from third-party interactions.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, DIGITAL RASPBERRY, LLC, ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, LICENSORS, AND AGENTS SHALL NOT BE LIABLE FOR:

• Any direct, indirect, incidental, consequential, punitive, or special damages arising from use of or reliance on the Service;
• Lost profits, betting losses, lost revenue, lost data, or business interruption;
• Damages resulting from errors, inaccuracies, delays, or omissions in predictions or data;
• Technical failures, server outages, data breaches, or unauthorized access;
• Third-party conduct, content, or services;
• Any damages exceeding the amount paid by you to TiltRx in the 12 months preceding the claim.

Some jurisdictions do not allow limitation of certain damages, so some limitations may not apply to you.

YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SERVICE IS TO DISCONTINUE USE.

12. Indemnification

You agree to defend, indemnify, and hold harmless Digital Raspberry, LLC and its affiliates, officers, directors, employees, contractors, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

• Your use or misuse of the Service;
• Your violation of these Terms or applicable laws;
• Your violation of any third-party rights, including intellectual property or privacy rights;
• Any content you submit, post, or transmit through the Service;
• Gambling losses or financial damages resulting from reliance on predictions.

13. Privacy and Data Collection

Your use of TiltRx is governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal information. By using the Service, you consent to:

• Our data collection and processing practices as described in the Privacy Policy;
• The use of cookies, analytics tools, and tracking technologies;
• Communication from TiltRx regarding your account, subscriptions, and service updates.

14. Termination

We reserve the right to suspend, restrict, or terminate your access to the Service at any time, with or without cause, with or without notice, and without liability to you. Reasons for termination may include but are not limited to:

• Violation of these Terms;
• Fraudulent, abusive, or illegal activity;
• Non-payment of subscription fees;
• Prolonged inactivity;
• Discontinuation of the Service.

Upon termination, all licenses granted under these Terms immediately cease, and you must stop using the Service. Sections that by their nature should survive termination shall remain in effect.

15. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

DIGITAL RASPBERRY, LLC EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

• WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
• WARRANTIES REGARDING ACCURACY, RELIABILITY, COMPLETENESS, OR TIMELINESS OF CONTENT;
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE;
• WARRANTIES THAT DEFECTS WILL BE CORRECTED OR THAT THE SERVICE IS FREE OF VIRUSES OR HARMFUL COMPONENTS.

No oral or written information or advice given by TiltRx or its representatives shall create a warranty.

16. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict of laws principles.

Arbitration Agreement: Any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Denver, Colorado. Judgment on the award may be entered in any court having jurisdiction.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action lawsuit or class-wide arbitration.

Exceptions: Either party may seek injunctive or other equitable relief in state or federal courts located in Denver County, Colorado to prevent infringement of intellectual property rights. Small claims court actions are also excluded from arbitration.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement and Waiver

These Terms, together with the Privacy Policy and any other legal notices published by TiltRx, constitute the entire agreement between you and Digital Raspberry, LLC regarding the Service and supersede all prior agreements, understandings, or communications.

No waiver of any term shall be deemed a further or continuing waiver of such term or any other term. Our failure to enforce any right or provision shall not constitute a waiver of that right or provision.

19. Changes to Terms

We reserve the right to modify, update, or replace these Terms at any time at our sole discretion. Material changes will be communicated via email or prominent notice on the Service at least 30 days before taking effect.

Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Service and cancel your subscription.
